Our start-up arising from imec must sign a shareholders' agreement in English. Does it need to be translated into Dutch for the Belgian formalities?
For the formalities with the Crossroads Bank for Enterprises (CBE) and for the notarial deeds in Belgium, the constitutional documents must generally be available in Dutch if the company is established in Flemish Brabant. The shareholders' agreement itself is not always required in Dutch for legal filing, but if a dispute arises before the Rechtbank Leuven, any document in English will have to be accompanied by a sworn translation into Dutch. We recommend providing for this translation as soon as the agreement is signed to avoid delays in the event of litigation.
KU Leuven asks us for a certified translation of our Horizon Europe consortium contract. What is the difference between a certified translation and a sworn translation?
In Belgium, only the sworn translation (beëdigde vertaling) has evidentiary force before the official courts and administrations. It is produced by a sworn translator who has taken the oath before a Belgian court and is registered on the e-Justice list of the SPF Justice. A so-called certified translation provided by an agency without sworn status does not have this legal value. For Horizon Europe contracts, which may be subject to audits by the European Commission, the Belgian sworn translation is the most solid guarantee.
We have a PCT patent in English that we want to validate in Belgium. Do all the claims need to be translated?
Since the entry into force of the London Protocol in Belgium, the complete translation of European patents into Dutch is no longer mandatory for validation in Belgium if the patent is drafted in English or French. However, if your patent is in German or another language, a translation into French or Dutch remains necessary. For infringement court proceedings before the Rechtbank Leuven, a complete sworn translation (claims, description, abstracts) will be required for documents produced in a foreign language.
